1. Acceptance & eligibility
Plain English: You must be 18 or older and have the right to bind your business.
By creating an account or using Asisly ("the Service", "we", "us"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy and Acceptable Use Policy. If you do not agree, do not use the Service.
You represent that you are at least 18 years old. If you are using the Service on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to both you and that entity.
2. The service
Plain English: Asisly is an AI receptionist that answers your phone and chat. We don't replace human judgment for medical, legal, or financial decisions.
Asisly is a software-as-a-service platform that uses artificial intelligence to handle inbound voice calls, chat messages, and SMS for service businesses. Capabilities include answering questions, booking appointments, taking orders, capturing leads, sending confirmations, and forwarding calls to humans where configured.
The Service depends on third-party providers (telecom carriers, AI model providers, calendar APIs) and may experience occasional interruptions. We aim for 99.5% monthly uptime but do not guarantee it. Live status is at asisly.com/status.
3. Your account
Plain English: Keep your password safe. You're responsible for what happens under your account.
You must provide accurate, current, and complete information when creating an account. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.
You are responsible for the accuracy of business information, service catalogs, hours, and prompts you configure. The AI relies on what you tell it.
4. Billing & subscriptions
Plain English: 14-day or 25-call free trial. Then monthly or annual. Cancel any time — no refund for partial months.
Trial. New accounts receive a 14-day free trial capped at 25 successful calls (whichever ends first). No credit card is required to start the trial.
Subscription. Plans are billed monthly or annually in advance. Annual billing is discounted by approximately two months. Subscriptions auto-renew unless cancelled before the renewal date.
Credits & overages. Each plan includes a monthly credit allowance (1 credit = 1 voice minute or 5 SMS or 10 chat messages). Credits do not roll over. Overage above the plan allowance is billed at $0.39 CAD per credit.
Cancellation. You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial periods, unused credits, or unused trial days, except where required by applicable consumer protection law.
Failed payments. If a charge fails, we will retry for up to 7 days before suspending the Service. Suspended accounts cannot answer calls.
Taxes. Prices exclude applicable taxes (e.g. GST/HST/PST), which we collect where required.
5. Acceptable use
Plain English: Don't use Asisly for spam, fraud, illegal calls, or abuse. We can suspend you immediately for violations.
You agree to comply with our Acceptable Use Policy, which prohibits unsolicited mass calling, fraud, impersonation, illegal content, harassment, and similar abuse. Violations may result in immediate suspension or termination without refund. We comply with STIR/SHAKEN call authentication standards.
6. Content & intellectual property
Plain English: You own your business data. We own the platform.
Your content. You retain all ownership of the content you provide to Asisly — your business profile, service catalog, knowledge base, prompts, transcripts, recordings, and customer data ("Your Content"). You grant Asisly a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Your Content solely to operate, improve, and support the Service.
Our IP. Asisly retains all rights to the Service software, models, voice library, dashboard, branding, and underlying infrastructure. You receive a limited, non-transferable, revocable license to use the Service for your business during your subscription term.
Voice clones. If you upload a voice sample for cloning, you represent you have all necessary rights from the speaker. Cloned voices are stored encrypted and used only on your account.
Feedback. Suggestions you send us are non-confidential and we may use them without restriction or compensation.
7. AI-specific terms
Plain English: The AI can make mistakes. Don't let it give medical, legal, or financial advice. Pro+ tier offers HIPAA-aware mode for clinics.
Asisly uses large language models from third-party providers (OpenAI, Anthropic, OpenRouter, ElevenLabs). The AI may occasionally produce inaccurate or unexpected outputs ("hallucinations"). The Service is configured to refuse uncertain answers and route to a human message instead, but no AI system is perfect.
Restricted content. Standard agents must not be used to provide medical diagnosis, legal advice, or financial advice. If you operate a regulated business, you must:
- Configure prompts to disclaim and route to a licensed professional;
- Upgrade to the Pro tier or higher for HIPAA-aware mode if you handle protected health information;
- Sign our Business Associate Agreement (BAA) before processing PHI.
Recordings & transcripts. Call recordings are an opt-in feature on Growth tier and above. You are responsible for compliance with two-party consent recording laws in your jurisdiction. Asisly plays a recording-disclosure prompt at call start when recording is enabled.
8. Privacy
Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms.
9. Disclaimers
Plain English: The Service is provided "as is." We don't promise it's perfect.
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant uninterrupted, error-free, or secure operation.
10. Limitation of liability
Plain English: Our total liability is capped at what you paid us in the last 12 months.
To the maximum extent permitted by law, Asisly's aggregate liability arising out of or related to the Service shall not exceed the greater of (a) the amount you paid Asisly in the 12 months preceding the claim, or (b) one hundred Canadian dollars ($100 CAD). In no event will Asisly be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost business, or lost data, even if advised of the possibility.
Some jurisdictions do not allow the exclusion of certain warranties or liabilities — in such jurisdictions, the above limitations apply only to the maximum extent permitted.
11. Termination
Plain English: Either side can end this anytime. We can suspend you for violations.
You may terminate your account at any time by cancelling your subscription. We may suspend or terminate your account for material breach of these Terms, non-payment, fraudulent or abusive use, or where required by law, with or without notice. Upon termination, your access to the Service ends and we may delete Your Content after a 30-day grace period (60 days for Pro+ tiers). Sections that by their nature should survive termination (IP, liability, disputes) survive.
12. Disputes & jurisdiction
Plain English: Disputes go to courts in Ontario, Canada. We try to resolve things informally first.
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-laws principles. The parties agree to attempt to resolve any dispute informally for 30 days before initiating formal proceedings. Any unresolved dispute shall be brought exclusively in the courts located in Toronto, Ontario, Canada, and the parties consent to personal jurisdiction there.
Nothing in this section limits your statutory rights as a consumer in your home jurisdiction where those rights cannot be waived by contract.
13. Changes to these terms
We may update these Terms from time to time. Material changes will be announced by email and via an in-app banner at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
